About the Corporate Legal Department

For its headquarters in Brussels, Umicore is looking for a Corporate Paralegal to strengthen its team of in-house lawyers and paralegals.
As Corporate Paralegal, you will provide assistance to the Legal department of Umicore, mainly the Legal Corp sub-department and the Western Europe regional legal team. You will work primarily with the other members of the Legal department worldwide, as well as with other functions (e.g., Finance, HR and business units). You will report to the Head of the Legal Corp sub-department and have a strong functional link with the Head of the Western Europe regional legal team.

What you will be doing

* You will organize and prepare materials for the shareholders’ and supervisory board meetings of the listed parent company,
* You will assist with all corporate actions relating to the listed parent company (including dividend distributions, buy-back operations, share conversions etc.),
* You will work with other functions and local counsel in various jurisdictions to prepare minutes, resolutions, powers of attorney and other corporate legal documents relating to the Umicore subsidiaries,
* You will provide administrative support in various restructuring, M&A and finance law matters,
* You will maintain statutory books (including share and bond registers) and databases (legal entities and contracts),
* You will work with external service providers to obtain corporate documents (e.g., certificates, translations, and legalizations),
* You will draft and follow-up legal registrations, notifications and publications,
* You will liaise with stakeholders and (market, clearing and other) authorities on legal and governance matters,
* You will provide advisory reports to subsidiaries pointing out missing steps towards legal compliance and giving support to realize them.
* You will support our in-house lawyers in the Western Europe Regional Legal Team in their day-to-day work
* You will assist with the protection and management of the Umicore Group’s portfolio of trademarks and domain names,
* You will provide information and recommendations on the legal and administrative aspects of trademarks and domain names

Profil

Who we are looking for

* You hold a Bachelor’s degree in (para)legal studies ,
* You have a relevant professional experience of minimum five years in a law or notary firm, a public authority or an in-house legal department,
* You are fluent in written and spoken English and French or Dutch (fluent knowledge of both French and Dutch is considered a plus),
* You are computer literate and proficient with Microsoft Office applications (Word, Outlook, Excel, PowerPoint, Teams),
* You have strong communication and interrelationship skills,
* You have excellent organizational and analytical skills, with a focus on quality and attention to detail,
* You are a team player and enjoy sharing knowledge, but are capable of working autonomously and take on responsibilities,
* You demonstrate discretion in handling sensitive and confidential information.
